Diagnostic Services Agreement

This Diagnostic Services Agreement (the “Agreement”) governs the 90-Day Diagnostic engagement between AI OS Solutions (“AI OS Solutions,” “we,” or “us”) and the individual or entity that purchases it (“Client” or “you”). By purchasing the diagnostic, whether by online checkout or by countersigning a copy of this Agreement, you agree to these terms.

The 90-Day Diagnostic is a fixed-scope advisory engagement. Over ninety days we work inside your workflows, systems, and data to answer two questions: whether your data is ready for AI, and which lever AI should pull first. The engagement moves through three phases:

• Immerse: we get inside the business, shadowing the workflows, mapping the systems, and interviewing the people who carry the work.
• Examine: we assess where the business leaks, where data stands, and which AI levers are real versus which are hype.
• Synthesize: findings become a plan, including what to clean up, which lever AI pulls first, in what order, and what each step should return.

Nothing agentic is built under this Agreement. The diagnostic precedes and informs any future build, which, if pursued, is a separate engagement under its own agreement.

At the close of the ninety days, you receive:

• Full workflow, systems, and data audit: the complete map of how the business runs and where it leaks.
• Data readiness report: exactly what has to be cleaned up before AI can run on it, and what that takes.
• The AI levers, ranked by revenue payback: every candidate lever, quantified and sequenced by what pays back first.
• Roadmap and read-out: the 90-day-forward plan, presented by strategy and build together.

The engagement runs for ninety (90) days from the kickoff date, which we schedule with you after purchase. Timelines assume reasonable Client cooperation under Section 7. If access or information is delayed, the schedule extends by the length of the delay.

• The fee for the 90-Day Diagnostic is $15,000 USD, one-time.
• Payment is due in full in advance, unless a written payment schedule is agreed in a countersigned copy of this Agreement.
• Payment made through the online checkout is processed by Stripe. We do not store your full card details.
• The engagement is scheduled once payment clears.

• If we determine before kickoff that we cannot responsibly serve the engagement, we refund the fee in full.
• Once the engagement has commenced, the fee is earned as the work is performed and is non-refundable, because the value of the diagnostic is the work itself, not a guaranteed result.
• A conclusion that AI cannot move your number is a valid and complete outcome of the diagnostic, not a failure of delivery, and is not grounds for a refund. See Section 10.

The quality of the diagnostic depends on access. You agree to provide, in a timely manner:

• Reasonable access to the workflows, systems, tools, and data in scope.
• Availability of the people who carry the work, for interviews and shadowing.
• Access to a decision-maker who can answer questions and attend the read-out.
• Accurate information. Our findings reflect what you make available to us.

Each party will treat the other’s non-public information as confidential and use it only to perform or benefit from this engagement. This obligation survives the end of the engagement. It does not apply to information that is public through no fault of the receiving party, was already known, is independently developed, or must be disclosed by law.

• On full payment, the deliverables prepared specifically for you under Section 3 are yours to use within your business.
• We retain ownership of our pre-existing methods, frameworks, templates, and know-how, including anything we developed before or independently of this engagement.
• Nothing here transfers ownership of third-party or open-source materials, which remain governed by their own licenses.

The diagnostic is advisory. It is an honest assessment, not a guarantee of revenue, savings, or any other business result. If AI cannot move your number, the diagnostic says so, and saying so is a complete and valuable outcome. We do not warrant that acting on the roadmap will produce any specific financial result, and we are not responsible for decisions you make based on it.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits or lost revenue. Our total liability arising out of or related to this Agreement will not exceed the fees you actually paid us for the engagement.

We act as an independent contractor. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship, and neither party may bind the other.

We handle the data you make available only to perform the engagement, and we apply reasonable safeguards to protect it. On request after the engagement ends, we will return or delete Client materials in our possession, except copies we must retain by law or that are retained in routine backups.

Either party may terminate the engagement on written notice if the other materially breaches this Agreement and does not cure the breach within fifteen (15) days. On termination, fees are handled per Section 6, and Sections 8 through 11 survive.

This Agreement is governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada.

This Agreement, together with any countersigned statement of work or payment schedule that references it, is the entire agreement between the parties on the 90-Day Diagnostic and supersedes any prior understanding.
